By accessing or using the BulbNorAm website, services, or any applications made available by BulbNorAm (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

BulbNorAm provides Microsoft Teams-based unified communications (UC) and contact centre (CC) solutions, including but not limited to:

• Microsoft Teams integration and deployment services
• Contact centre solutions and implementation
• SIP telephony and voice services
• Compliance recording solutions
• Attendant console applications
• Analytics and reporting tools
• Technical support and consulting services

3. User Accounts

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate and complete information when creating an account
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems
• Interfere with the operation of the Services
• Use automated systems to access the Services without permission

5. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, software, and documentation, are owned by BulbNorAm or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

6. Third-Party Services

Our Services may integrate with or contain links to third-party services, including Microsoft Teams, Azure, and other platforms. Your use of such third-party services is subject to their respective terms and privacy policies. BulbNorAm is not responsible for the content or practices of any third-party services.

7. Service Level Agreements

Specific service level agreements (SLAs) for our enterprise services are defined in separate agreements with our customers. These Terms provide the general framework, while individual SLAs govern specific service commitments, uptime guarantees, and support response times.

8. Payment Terms

Payment terms for our paid services are specified in individual service agreements or invoices. Unless otherwise stated, all fees are in Canadian dollars and are non-refundable. We reserve the right to change our pricing with reasonable notice.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BULBNORAM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BULBNORAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

11. Indemnification

You agree to indemnify, defend, and hold harmless BulbNorAm and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Services or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that should reasonably survive termination shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ottawa, Ontario, Canada.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
